    Constellation Brands Looking To Buy Chateau Ste Michelle

    Slipped into Tuesdays Wells Fargo research report on Constellation Brands dominance of the beer industryits Corona, Modelo and Pacifico brands show no signs of slowing salesare arguments why one of the largest publicly traded wine companies should consider buying more wine.

    Wells Fargo Managing Director Bonnie Herzog, head of the investment banks tobacco and beverage coverage, argues that beginning in Constellation Brands Fiscal Year 19 , the maker of Robert Mondavi, Clos du Bois, Franciscan Estates, Ravenswood and Manischewitz among others, will begin to have funds for an acquisition. By FY21, she estimates it will have $8 billion to $10 billion in buying power.

    We think that STZ could opportunistically acquire larger brewers or wine and spirits manufacturers, including MOs Ste. Michelle Wine Estates and Treasury Wine Estates , Herzogs group writes.

    Neither Ste. Michelle Wine Estates nor Constellation Brands would comment on the report. A spokeswoman for Treasury Wine Estates, in an email, called the Wells Fargo report purely speculative and we dont comment on speculation or rumor.

Eventually, Tchelistcheff consulted with American Wine Growers on its nascent Ste. Michelle wines, and encouraged it to focus on cooler-climate white grapes like Riesling and Gewürztraminer.

    Constellation Would Gain Internationally

    Ste. Michelle is a top producer of premium wines with brands such as Columbia Crest and 14 Hands helping it to gain acclaim. Owned by Altria, Ste. Michelle is profitable with solid mid-20 percent margins, but even with $746 million in sales in last year, the wine business makes up less than 3 percent of Altrias overall sales and less than 2 percent of its operating profit.

    In fact, according to scanner data, Ste. Michelles wine is priced on average at a nearly 50-percent premium to STZs and only 5 percent of its wine volume, Herzog notes. She values a takeover of Ste. Michelle at between $3 billion and $4 billion.

    The rationale for buying Treasury is that it would provide a large brand and give Constellation ready access to more international markets. Herzog estimates such an acquisition would cost about $8 billion to $12 billion.

    It also should be noted that Wells Fargo is an underwriter for Constellation Brands and does business with the company, however, no part of Herzogs compensation is related to the specific recommendations or views expressed in the report.

    Sale Officially Closes On Landmark Ste Michelle Wine Estates Deal

    The ink is dry on the largest private equity purchase of a US wine company in history, as Sycamore Partners buys the Washington-based outfit from US Tobacco.

    The sale of Ste. Michelle Wine Estates has completed for a sum of US$1.2billion, announced the Bank of the West, who led the financing for the acquisition, today.

    The closure makes the sale the largest private equity purchase of a US wine company in history.

    Sold by US Tobacco, a subsidiary of Altria, Chateau Ste. Michelle is the biggest winery in the Pacific Northwest, and third-largest premium winery in the US.

    With more than 12,140 hectares of vineyards, it produces 60% of Washingtons annual wine sales and has vineyards in the Columbia Valley of East Washington, including Canoe Ridge Estate and Cold Creek, producing expressions for brands including 14 Hands, Erath and Stags Leap. Ste. Michelle produces more than 8,000,000 cases of Riesling per year.

    The tobacco giant oversaw a strategic reset of the Ste. Michelle wine business last year, following surplus wine stocks and the writing off of some of its inventory.

    It is thought that buyers Sycamore Partners, a private equity firm specialising in consumer, retail, and distribution investments, plan to work with the existing winery team, which includes head winemaker Bob Bertheau.

    According to Paul Fossati, managing director Capital Markets, Sycamore Partners, The Bank of the Wests holistic view of the ecosystem of the wine world was critical to the sale.

    On Friday, Ste. Michelle Wine Estates , the largest winery in the Pacific Northwest and third-largest premium winery in the country, was sold to Sycamore Partners, a New York-based private equity firm. Sycamore, which specializes in retail and consumer investments, will purchase the company in the second half of this year from the current owner, tobacco giant Altria, for a cool $1.3 billion in cash.

    The scale of this investment is significant, says Ryan Pennington, senior director of communications and corporate affairs at SMWE. And we see that not only as a significant vote of confidence for our team, and our estates and brands, but really for the entire Washington wine industry.

    SMWE includes Chateau Ste. Michelle, the winerys flagship brand, along with 14 Hands and Columbia Crest in Washington Erath in Oregon and Patz & Hall in California, among others. Founded in 1967, Ste. Michelle was purchased by U.S. Tobacco in 1974 and became part of Altria when that company bought UST in 2008.

    SMWEs economic and cultural impact on Washington wine is enormous. The company contracts the majority of wine grape acreage and makes approximately 7.3 million cases of wine annually, a majority of the states total.

    We just werent as close to our consumers as we needed to be, says Pennington.

    SMWE asked growers to crop at lower levels rather than refuse fruit it had contracted, as it had the prior year.

    Theres also some trepidation in the wine community.
